Following will be a basic sequence on a typical engagement process when you partner us in your journey:
2. Finalize company structure. In parallel to making payment arrangements, the authorities of Singapore require all professional service providers to conduct due diligence checks before onboarding a client. We will need you to provide details of the company structure with details on who the shareholders are and forward supporting documents for our reference and filing purposes for your company. Our team will review the information you provided and conduct their regulatory KYC due diligence as required by the law. If we need any clarifications, we will coordinate it with you on any follow up actions required.
6. Certificate of incorporation. Upon registration of the company, our team will obtain electronic certificate of incorporation and business profile the company from ACRA.
8. Application for Employment Pass (EP) – Optional. Once the company is ready and the bank account is setup, we can proceed with the advisory and application work for the Employment Pass. We will start gathering all relevant documents and kick start the application process with the ministry of manpower, there may be a need to appeal but our services cover that for up to 2 times if required.
The general timeline is as described below.
- Company incorporation process (steps 1-6 above) can take anywhere from one to few days. It will primarily depend on how fast you can act on your end (providing supporting documents, signing of incorporation documents, etc).
- Bank account opening at present takes about 3-4 weeks in Singapore. Singapore banks require at least one Executive Director to sign the account opening documents. Selected banks do not require the Executive Director, or the authorised bank signatory to be physically present in Singapore. The situation subjected to changes, but we will ensure that this is fully managed and made clear to you.
- Employment Pass application can take between 2 – 4 weeks or longer depending on a case-to-case basis. With our experienced immigration team, we will ensure the most efficient application is submitted first time, every time.
Required Documents
For each Director, Shareholder and Ultimate Beneficial Owner (UBO) of the proposed company:
1. Passport copy
2. NRIC copy for Singapore citizens and PRs (or FIN card for Singapore work pass holders)
3. Residential address proof (for example, a driver’s license, a recent utility bill, rental agreement, etc. and No longer than 2 months old)
4.Brief professional background. This can be in the form of a curriculum vitae (CV), resume or link to the person’s LinkedIn profile.
If your company has a corporate shareholder, the following documents will be required for the parent corporate entity:
1. Certificate of Registration issued by the Registrar of the jurisdiction where the company is registered
2. Company Extract that contains the following information:
- Company’s name, registration number, registered address and primary business activities
- Paid-up Capital of the company
- Particulars of Shareholders and Directors
3. Authorised Person Resolution passed by the director(s) of the shareholding company that includes the following:
- Decision of the shareholding company to hold shares in the proposed Singapore Company
- Appointment of an Authorised Person to sign the Singapore Company formation documents on behalf of the shareholding company
4. Ownership structure chart or information that identifies the key UBOs of the shareholding company. For each key UBO, we will need the documents as listed under For Individuals above.
Frequently Asked Questions
1.The sponsor of the Employment Pass (i.e. the current employing company) issues a no objection letter.
2. The EP holder obtains a Letter of Consent from the Ministry of Manpower (MOM).
Note that when hiring foreign staff, the eligibility conditions must be satisfied for the relevant work pass category (Employment Pass or S-Pass). For more, refer to our work visa categories.
If a business license is required, you must obtain the license before commencing business. Fortunately very few type of business activities requires a license in Singapore.
